Terms & Conditions
The agreement between you and Maha 12 LLC, operating as TowFusion.
1. Who this agreement is with
These terms are between you (the business using our services, "you") and Maha 12 LLC, a limited liability company operating under the brand name TowFusion, with its principal place of business at 1 Main Street, Woodbridge, NJ 07095, United States ("Maha 12", "TowFusion", "we", "us").
By using our website, signing up for a plan, or signing in to the customer portal, you accept these terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.
If we sign a separate written agreement with you, that agreement takes precedence over these terms wherever the two conflict.
2. The services
TowFusion provides marketing, automation and software services to towing companies. Depending on the plan you choose and what we agree, these may include exclusive lead generation, AI call answering and dispatch support, local search and Google Business Profile optimisation, Local Service Ads management, reputation management, website design and development, fleet tracking, and access to the customer portal.
Exactly what is included in each plan is described on our pricing page. We may improve, change or discontinue individual features over time. If we make a change that materially reduces what your plan includes, we will tell you before it takes effect.
3. Accounts and credentials
Portal accounts are issued by us; you cannot register one yourself. We create the account and provide a one-time password, which you must change when you first sign in.
You are responsible for keeping your credentials confidential and for everything done under your account. Do not share logins between people — ask us for additional accounts instead. Tell us promptly if you believe an account has been compromised, and we will disable or reset it.
We may suspend an account that is being misused, that is being used to access data belonging to another business, or where required for security.
4. Plans, fees and billing
Our current plans, monthly rates and one-time setup fee are published on the pricing page. The rate that applies to you is the rate in effect when you sign up, or as otherwise agreed in writing.
- Monthly fees are billed in advance for each billing period.
- The setup fee is a one-time charge covering onboarding, including your website build, AI training and go-live.
- Website builds quoted separately are one-time charges, distinct from your monthly plan.
- Where an annual option is taken, the discounted rate applies for the committed term.
- Fees are exclusive of any applicable taxes, which you are responsible for.
We may change our prices. For existing customers, we will give at least 30 days' notice before a price change takes effect, and you may cancel before it does.
If payment fails or an account falls significantly overdue, we may pause services after giving you notice and a reasonable opportunity to fix it.
5. Term and cancellation
Monthly plans run month to month with no long-term lock-in. You may cancel at any time, effective at the end of your current billing period. Fees already paid for the current period are not refunded unless we have failed to provide the service. Annual commitments run for the term agreed.
On cancellation, your portal access ends and we may delete your account data after a reasonable period, subject to our Privacy Policy and any records we must keep by law. Ask us before you cancel if you want an export of your figures.
We may terminate for material breach of these terms, giving you notice and, where the breach can be fixed, an opportunity to fix it.
6. No guaranteed results
Marketing results depend on your market, competition, pricing, fleet size, response times, seasonality and how you handle the work we send you. Any figures, averages, examples or case studies shown on our website or in our materials are illustrative only. They are not a promise, projection or guarantee of what your business will achieve.
We commit to providing the services described in your plan with reasonable skill and care. We do not guarantee a specific number of calls or leads beyond any volume tier stated in your plan, a specific search ranking, a specific conversion or booking rate, a specific revenue figure, or any particular return on your spend. Search engines, ad platforms and directories are controlled by third parties and their rules and results change outside our control.
7. Leads and territory
Where your plan includes exclusive leads, a lead we generate for your service area is passed to you and not resold to another TowFusion customer in that area. Exclusivity applies to leads we generate and to the territory we agree with you. It does not stop a consumer contacting several companies independently, and it does not give you exclusivity over a geographic area generally.
You are responsible for answering, qualifying and servicing the work. Leads that go unanswered still count toward your plan's volume.
8. Your responsibilities
- Give us accurate business information, and keep it current
- Hold and maintain the licences, permits and insurance your work requires
- Provide timely access to accounts we need to manage on your behalf, such as your Google Business Profile
- Make sure any content, logos or images you give us for your website are yours to use
- Comply with the laws that apply to your business, including those covering towing, consumer protection, recorded calls and employee monitoring
9. Fleet tracking and your drivers
If you use fleet tracking, you decide which drivers receive a tracking link. Tracking works only while a driver has the page open and has actively started sharing, and we store only their most recent position.
You are responsible for informing your drivers that you use location tracking and for obtaining any notice or consent that employment or privacy law in your state requires. You confirm you have the authority to provide us with the driver details you enter, and that you will use the location information only for legitimate dispatch and safety purposes connected to their work.
10. Ownership
You own your business information, your customer and job data, your brand and any content you provide to us. You grant us the licence needed to use it to provide the services.
We own the TowFusion brand, the portal, our software, workflows, templates and methods, and anything we develop generally for our services. Nothing here transfers that to you.
For a website we build for you: once your build fee and any amounts then due are paid, you own the finished site's content and design as delivered. Underlying tools, frameworks, licensed assets and any reusable components remain ours or their licensors'. Ask us before you assume you can reuse a component elsewhere.
11. Third-party services
Our services rely on third parties including Google, Supabase, Vercel and Mapbox. Your use of those services may be subject to their own terms. We are not responsible for their availability, changes to their policies, or actions they take on your accounts.
12. Acceptable use
Do not use our services to break the law, to mislead consumers, to send unlawful messages, to interfere with our systems or security, to attempt to access another customer's data, to reverse engineer the portal, or to resell access without our written agreement.
13. Disclaimers
Except as expressly stated in these terms, the services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the services will be uninterrupted or error free.
14. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business or lost data, even if advised such damages were possible.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the services is limited to the amounts you paid us for the services in the twelve months immediately before the event giving rise to the claim.
Nothing in these terms limits liability that cannot be limited by law.
15. Indemnification
You agree to indemnify and hold harmless Maha 12 LLC and its members, officers and staff from claims, damages and reasonable costs arising out of your use of the services in breach of these terms, your towing operations, content you supplied to us, or your handling of your drivers' or customers' information.
16. Governing law and disputes
These terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict of laws rules. The state and federal courts located in New Jersey have exclusive jurisdiction over any dispute, and both parties consent to that jurisdiction.
Before starting formal proceedings, both parties agree to attempt in good faith to resolve any dispute by talking to each other first. Most problems are quicker to fix with a phone call.
17. General
If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our written consent; we may assign them as part of a sale or reorganisation of our business. These terms, together with any separate written agreement and our Privacy Policy, are the entire agreement between us on this subject.
18. Changes to these terms
We may update these terms. We will revise the "last updated" date above, and for material changes we will give you reasonable notice before they take effect. Continuing to use the services after that means you accept the updated terms.
